SERVICE AGREEMENT AND TERMS OF USE

BETWEEN: AVOCADO MEDIA LLC (hereinafter, "The Provider") and the individual or legal entity contracting the service (hereinafter, "The Client").

1. OBJECT OF SERVICE

This agreement governs the provision of strategic consulting services in Revenue Capture and Customer Retention, including access to and configuration of the digital ecosystem known as Virtual Front Desk (hereinafter, "The System").

2. FINANCIAL STRUCTURE AND PAYMENTS

The Client agrees to and is bound by the following investment scheme:

Implementation Fee (Setup Fee): A one-time initial payment of $1,000 USD. This fee covers internal process auditing, strategy customization, and initial technical configuration of tools. This payment is non-refundable once the data analysis process has commenced.
Monthly Continuity Membership: A recurring monthly payment of $497 USD. This payment grants the right to a license to use The System, technical support, updates, and ongoing strategic optimization by Avocado Media LLC.

3. INTELLECTUAL PROPERTY AND SOFTWARE ACCESS

Ownership: The Client acknowledges that Virtual Front Desk and any methodologies or tools provided are the exclusive property of Avocado Media LLC or its licensors.
Usage License: The membership payment grants a personal, non-transferable, and temporary license for use during the term of the contract.
Effect of Cancellation: In the event of suspension or cancellation of the monthly membership, access to The System will be automatically revoked at the end of the paid period. The Client retains no ownership rights or permanence over the configuration, interfaces, or software developed or implemented by The Provider.

4. IMPLEMENTATION REQUIREMENTS AND INFORMATION DELIVERY

The effective implementation has an estimated timeframe of 30 calendar days. However:

The implementation period shall only begin once The Client delivers 100% of the information, credentials, and access requested by Avocado Media LLC.
Any delay attributable to The Client in the delivery of information shall not suspend, postpone, or exempt The Client from the recurring monthly membership charges.

5. CONFIDENTIALITY AND DATA PROTECTION

Avocado Media LLC guarantees that:

It will treat billing data, revenue metrics, and customer databases shared by The Client with absolute confidentiality.
It will not share or market such information with third parties under any circumstances.
Upon termination of service, The Client may request the export of their raw data (customer records and leads) in a standard format, excluding any operational infrastructure or intellectual property belonging to The Provider.

6. LIMITATION OF LIABILITY

Avocado Media LLC acts as a strategic consultant and technological facilitator. While the system is designed to optimize revenue capture, The Provider does not guarantee specific financial results, as final success depends on external factors, market fluctuations, the quality of The Client's product/service, and the performance of their human staff.

7. CANCELLATION AND TERMINATION POLICY

The Client may cancel the monthly membership at any time by providing at least 15 days' notice prior to the next billing date.
No full or prorated refunds will be issued for monthly periods already invoiced.
Avocado Media LLC reserves the right to terminate the service and block access to the system in the event of non-payment or misuse of the platform.

8. JURISDICTION AND GOVERNING LAW

For the interpretation, compliance, and resolution of any controversy arising from this contract, the parties expressly submit to the jurisdiction and competence of the courts corresponding to the legal domicile of Avocado Media LLC, waiving any other jurisdiction that may correspond to them by reason of their present or future domiciles.

9. ELECTRONIC ACCEPTANCE

By processing the initial payment and checking the terms acceptance box, The Client confirms that they have read, understood, and accepted all the clauses set forth herein, becoming legally bound to Avocado Media LLC.
